Terms of Service

The agreement between your organisation and A.C.N. 699 804 307 Pty Ltd for use of the Vederca platform.

Version 1.11Last updated 6 November 2026Western Australia, Australia

1Who these terms are between

The Vederca platform is operated by A.C.N. 699 804 307 Pty Ltd trading as Vederca (ABN 27 699 804 307, ACN 699 804 307), an Australian private company based in Western Australia, Australia. In these terms, we, us and Vederca mean that company.

You means the organisation on whose behalf an account is opened, and every person who uses the platform under that account. If you are opening an account for an organisation, you confirm you are authorised to bind it, and these terms apply to that organisation as well as to you personally.

These terms apply whenever you access the platform or any part of the site. If you do not accept them, do not use the platform. Your use of personal information is also governed by our and , which form part of these terms.

2What the platform does

Vederca is a software procurement platform. Buying organisations use it to define what they need, produce procurement documentation, invite or discover vendors, and evaluate the responses they receive. Vendor organisations use it to build a company and product profile that is shared with qualified buying organisations, to receive invitations, and to respond to procurements. They can also see how often their registry listing and their profile are viewed, including views by people who are not signed in, which are counted without identifying anyone. Vederca also publishes a public vendor registry, described in section 6.

Parts of the platform use artificial intelligence to read documents, draft requirements, suggest vendors and score responses against the evidence supplied. These outputs are decision support, not decisions. Vendors write their own responses: the platform does not write, edit or improve them. Section 10 sets out what that means in practice.

We are not a party to any contract you enter into with a counterparty found through the platform. We are not your agent, adviser or representative, and nothing on the platform is legal, financial, taxation or procurement advice.

3Accounts, authority and eligibility

Accounts are for organisations, not consumers. You must be at least 18 and acting in the course of a business. You must give accurate registration details, including the registered identifiers we ask for such as an ABN or the equivalent company registration number in your country, and keep them current.

Sign in is passwordless: we email a single-use link to your address, or you sign in with your Google account. You can also choose to verify a mobile number with a single-use code we send by text message. You are responsible for the security of that mailbox, any Google account you sign in with and any mobile number you verify, and for everything done under your account. Tell us promptly if you believe an account has been accessed without authority.

An organisation administrator may add, remove and change the permissions of users in their organisation. We act on instructions from any account that appears to be validly authenticated.

4Running a procurement

You decide how your procurement runs. You choose whether it is public, meaning it is listed to vendors with a complete profile in the sectors you select so they can register interest, or private, meaning it is never listed and only the vendors invited to it can see it. Your requirements and evaluation stay confidential to your organisation either way.

A procurement includes up to 15 vendors. We propose the vendors to invite, and you confirm the list, adding or removing vendors, before the procurement goes live. You can also invite vendors yourself, from the registry or by email, including a vendor that does not yet have an account. Every vendor on the procurement takes one of its places, whether or not it responds. If an invited vendor declines or does not respond while responses are still open, we may invite another vendor in its place: the replaced vendor's decline or non-response stays on the procurement's record and in its report, and its place passes to the substitute.

You are responsible for:

  • the accuracy and lawfulness of the documents and information you upload;
  • having the right to share anything you upload, including material belonging to third parties;
  • the procurement rules that apply to you, including any public sector procurement obligations, probity requirements or internal policies; and
  • every decision you make about which vendors to invite, shortlist, reject or engage.

You may run a procurement without accepting any response. Nothing on the platform obliges you to award, and nothing obliges a vendor to bid.

5Vendor participation and verification

Vendors build a profile describing their company and products, which is shared with buying organisations only as section 6 describes. A vendor can be invited to a procurement by the buying organisation running it or by us, including by email before it has an account, and a vendor can see and register interest in a public procurement once its profile is complete. We run automatic identity checks on vendor accounts and may mark a vendor as verified. Identity checks and verification confirm that a company is real and is who it says it is. They are not an endorsement, a quality assurance, a credit assessment, or a warranty of anything a vendor claims.

You warrant that everything in your profile and in every response you submit is true, not misleading, and yours to publish. You must not misrepresent your products, certifications, references or capacity. We may suspend or remove a profile, a response or an account where we reasonably believe this section has been breached.

Preparing your submission. A vendor is responsible for the accuracy and completeness of everything it submits through Vederca. Each submission must be prepared by the vendor and its own personnel. Vederca does not write, edit or improve responses, does not interpret a procurement's requirements for any vendor, and does not advise on how a requirement should be answered. Questions about what a requirement means must be raised through the procurement's clarification process, and the answer is published to every invited vendor.

Verifying a new vendor account. A vendor account opened on or after 6 November 2026 must be verified within 30 days of being opened. We verify it automatically once both of our checks pass: a confirmed work email address on a domain that belongs to the company, and a company registration number that matches the company's name on the official register. We may also verify it ourselves. We email the account's members before the deadline. An account that is not verified by the deadline is closed as section 15 describes, and the company can open a new account.

Verification status, profile completeness and response history may be shown to buying organisations. Being listed does not entitle you to receive invitations.

Responding to a procurement is free. Being invited, signing a procurement's NDA, uploading documents, answering requirements and the questionnaire, asking clarification questions, requesting a deadline extension, declining, submitting, and receiving an outcome and feedback cost nothing and are the same for every vendor, whatever it pays for. Nothing a vendor pays affects who is invited, how vendors are ranked in the registry, how responses are evaluated or who is recommended. A vendor's profile is shown to qualified buying organisations deciding whom to invite (section 6), and is not used to evaluate its responses.

6The vendor registry

Vederca publishes a registry of software vendors that sell to financial institutions (the registry) that anyone can read, whether or not they have an account. We compile each listing ourselves from publicly available information, whether or not the company has signed up: the company's own website and product pages, public registers and published news. A listing shows information of that kind, for example what the company sells, where it operates, the customers and partners it names publicly, the certifications it states and dated public events, with the public sources it came from. Some detail, such as the people named on a listing, is shown only to signed-in buying organisations.

The registry is provided for information only and without warranty. A listing may be incomplete or out of date. Being listed is not an endorsement or a recommendation of any vendor, and you should check anything that matters to you with the vendor directly. No vendor can pay to be invited, ranked or recommended, and nothing a vendor buys from us, including Vederca Plus, changes that.

Estimated pricing. Signed-in buying organisations may see our estimate of what a vendor's product would cost them. We show one only where data supports it: pricing the vendor has chosen to share on the platform, a price the vendor publishes, or public contract values, scaled only by figures your organisation has given us (such as its number of accounts or users) or that a public register records. An estimate states what it is based on. It is indicative only, is not a quote or an offer by the vendor or by us, and does not bind either. For a price you can rely on, run a request for quote. Estimates never affect invitations, ranking, recommendations or evaluation. A vendor that shares pricing is responsible for keeping it accurate and current, and may change or remove it at any time.

Claiming a listing. A vendor claims its listing by registering with Vederca. We link the vendor's account to its listing once we have verified the vendor, or once someone in it has confirmed an email address on the listing's own website domain, and may complete the listing with the company name, website, size and year founded the vendor gives us. A listing for a vendor that registers without one appears in the registry only after we have verified that vendor.

The owner's record and requests. Once we have verified a vendor that owns a listing, the vendor can see in the vendor portal everything we hold about its listing, with the source and date of each fact, and ask us there to correct or update it, to correct or remove a named person's details, or to take the listing off the registry. Before verification, a vendor can make the same requests through Support in the vendor portal, or by email to support@vederca.com if it does not have an account. We answer each request within 30 days.

A listing is our compiled record of public information. Its owner does not control it and cannot edit it directly, but we correct anything shown to be wrong. If an organisation admin of a verified owner asks us to take its listing off the registry, we remove the listing's detail and keep only a minimal entry of public business facts: the company's name, website and categories, unless the law requires us to remove more. A person named on a listing can ask us directly to correct or remove their own details, whatever the company asks, and once removed at their request they are not added to that listing again. We may decline to list any company, and may remove or retire any listing.

Publishing on a listing. A vendor that we have verified, and that meets the publishing requirements shown in the vendor portal, can publish parts of its own Vederca profile on its listing, item by item: its tagline, About text, logo, products, photos, case studies, named clients and approved certifications. Nothing is published until the vendor switches it on, and anything published can be taken down at any time. By publishing, the vendor confirms that it may publish that content and that we may show it publicly on the registry. Published content is labelled as the vendor's own.

A vendor must not misrepresent itself, its products, its customers or its certifications in anything it publishes on its listing or tells us about it. Section 5 applies to that content as it does to the vendor's profile, and we may take down published content that breaches these terms.

The rest of a vendor's profile is not part of the registry. Apart from the details that complete its listing when it registers, everything a vendor adds to its Vederca profile that it has not published on its listing, including its people, references and documents, which can never be published, is never shown in the registry. It is shared only with a buying organisation that Vederca has verified and that is running a procurement, and only with those of its users who have accepted the . A vendor's data room is never shared with buying organisations: a document from it reaches a buying organisation only when the vendor includes it in a response.

7Fees

Fees are shown excluding GST and any other tax. Vederca is registered for GST. The buying organisation fee is quoted to you directly rather than published, in the currency set by your organisation's country (the same currency as Vederca Plus in the table below). GST at 10% is added to it, and shown on the tax invoice, only for an organisation in Australia; a fee to an organisation outside Australia carries no GST. Vederca Plus is ordered inside the platform at the price published there when you order, in the currency set by your organisation's country. The current model is:

WhoWhatFee
Buying organisationsLaunching and running a procurement: requirements structuring, vendor outreach, evaluation of the responses, and a report recommending a shortlistOne fixed fee per engagement, quoted before anything starts, never a percentage of the contract you sign

VendorsVederca Plus, an optional monthly subscription. Building a profile is the same on the free plan and on Plus: every vendor can list every product, with the same limits on everything except media and document space, including product pages, case studies and certifications. Plus adds more room for media and documents (more photos and videos on each product page, more videos in the About section, and more data room space), advanced profile analytics, and more Kai on your profile, including Kai's review of it. It includes nothing to do with responding to a procurement.A$500 per month plus GST in Australia, or the monthly price for your country below, billed monthly

The currency of each fee, and the price of Vederca Plus, by the country your organisation is in:

CountryCurrencyVederca Plus, per month

United StatesUS dollars (USD)USD 349
United KingdomPounds sterling (GBP)GBP 279
Countries that use the euroEuros (EUR)EUR 319
New ZealandNew Zealand dollars (NZD)NZD 549
SingaporeSingapore dollars (SGD)SGD 469
Every other countryUS dollars (USD)USD 349

For Vederca Plus, your organisation's country sets the currency. Customers in Australia pay GST at 10% on top of the price, shown on each tax invoice. Customers outside Australia are not charged GST and are responsible for any tax that applies in their own country, for example by accounting for it under a reverse charge.

The buying organisation fee is a fixed amount per procurement. It does not depend on the value of any contract that follows, and it is quoted and agreed with you before any vendor is evaluated. It is a fee for running the process, not for its outcome: it is invoiced in full when you approve the prepared procurement, before anything goes to vendors, and is payable within 14 days of the invoice, whether you proceed with a vendor, negotiate independently, or decide not to proceed at all.

No fee is payable to us by the buying organisation or the vendor when a contract is awarded, and we take no share of any contract's value. There is no charge to a vendor for joining, listing, claiming its listing, building its profile, submitting a response, being shortlisted, being evaluated or being awarded a contract. Vederca Plus is optional, is ordered by you inside the platform, and is separate from eligibility, invitations, ranking and evaluation.

Vederca takes no part in contract negotiation and charges nothing when a contract is awarded, to the buyer or the vendor. Vendors never pay to respond to a procurement. They can buy Vederca Plus, an optional subscription that adds media and document space, analytics and Kai to the profile every vendor can build for free. Paid features never affect invitations, ranking, evaluation or recommendations, and each procurement's report discloses any paid relationship an evaluated vendor had with us while the procurement ran.

We may change fees on reasonable notice. A change does not affect a period you have already paid for. Vederca Plus renews each month until cancelled. You can cancel at any time from your plan settings; Plus continues to the end of the month you have paid for, and your account then moves to the free plan. Nothing you added is deleted: content above the free plan's limits stays visible and can be edited or removed, but not added to. Payments are not refundable for part of a month unless the law requires it. If you engage a vendor found through the platform, the commercial terms of that engagement are between you and them.

8Your content, and what we may do with it

You keep all rights in the documents, requirements, profiles, responses and other material you put into the platform (your content). You grant us a non-exclusive licence to host, copy, transmit, display and process it for as long as you use the platform, strictly for the purpose of providing it to you: for example, extracting requirements from a document you upload, showing your response to the buying organisation that invited you, or generating a score with its reasoning.

Processing includes sending relevant content to the third party AI providers listed in our so those features can run. We do not sell your content, and we do not publish a buying organisation's requirements or evaluation outside that organisation.

Wording Kai's profile review suggests becomes your content only when you accept it, and you are responsible for it as for anything else in your profile (section 5). Your profile, including accepted suggestions, is shown to qualified buying organisations deciding whom to invite (section 6) and is not used to evaluate your responses.

When you publish part of your profile on your registry listing (section 6), you also grant us a non-exclusive licence to show that content publicly on the registry until you take it down. Your registry listing itself is our compiled record of public information, not your content (section 6).

We may generate and keep aggregated, de-identified statistics about how the platform is used. These never identify you, your organisation, your counterparties or the substance of your procurements.

9Confidentiality

Information exchanged in a procurement is confidential to the parties to it. If you receive information through the platform that is not your own, you may use it only to participate in that procurement, must keep it confidential, and must not disclose it except to your personnel who need it and who are bound by equivalent obligations.

If you are a buying organisation, content from a vendor's Vederca profile that you see on the platform is that vendor's confidential information under the . You may use it only for the purpose that undertaking allows, and must protect it as the undertaking requires. The registry, including anything a vendor publishes on its listing, is public information and is not covered by this obligation.

These obligations do not apply to information that is public through no breach, that you already held without a duty of confidence, or that you are required to disclose by law. They survive the end of your account.

10AI assistance and human decisions

AI output on this platform is a starting point for a person to check. It can be incomplete or wrong, and it must not be treated as a substitute for your own evaluation, due diligence or professional advice.

Requirements drafted from your documents, suggested vendors, extracted evidence, scores and the reasoning shown alongside them are generated automatically. We show the reasoning and the evidence behind a score so you can check it. You remain responsible for reviewing that output and for every decision you make on the back of it.

Vendors get no AI help writing responses. For vendors, Kai, the assistant in the vendor portal, helps with the procurements you are invited to: it reports deadlines and status, lists what is still missing, finds and quotes your own documents and previous answers, quotes published clarifications word for word, and helps with using the portal. It also answers questions about your profile, and with Vederca Plus it reviews your profile and suggests wording for you to edit and accept. Kai never writes, drafts, edits or improves response text for any vendor, whatever it pays for, and never interprets a procurement's requirements or explains what a requirement means.

We do not warrant that AI output is accurate, complete or fit for a particular purpose, that a scan will surface every relevant vendor, or that a score predicts how a vendor will perform.

11Acceptable use

You must not:

  • use the platform to run a sham procurement, to gather a competitor's pricing or intellectual property, or for any purpose other than a genuine procurement or a genuine response;
  • upload anything unlawful, infringing, misleading, or containing malicious code;
  • upload personal information about anyone else unless you are entitled to, and only where it is genuinely needed for the procurement;
  • attempt to access another organisation's data, probe or interfere with the platform's security, or bypass access controls or rate limits;
  • scrape, harvest or bulk-extract data from the platform, or use it to train a machine learning model; or
  • resell, sublicense or provide the platform to a third party as a service.

We may investigate suspected breaches and may suspend access immediately where we reasonably believe there is a risk to the platform, to other users, or to us.

12Availability and changes to the platform

We aim to keep the platform available but do not promise it will be uninterrupted or error free. We may change, add or withdraw features, and we perform maintenance which sometimes requires downtime. Where a change would materially reduce a feature you are paying for, we will give reasonable notice.

Keep your own copies of anything you cannot afford to lose. We take reasonable steps to protect and back up data, but the platform is not a system of record for your organisation.

13Our intellectual property

The platform, its software, models, prompts, scoring methodology, interface, documentation, and the Vederca name and marks are ours or our licensors'. You get a non-exclusive, non-transferable right to use the platform under these terms while your account is open, and no other rights. Feedback you give us may be used without obligation to you.

14Liability

Nothing in these terms excludes, restricts or modifies any guarantee, right or remedy you have under the Australian Consumer Law or any other law that cannot lawfully be excluded. This section applies only to the extent the law allows.

Where our liability can be limited, it is limited at our option to resupplying the affected part of the platform or paying the cost of having it resupplied. To the extent permitted by law:

  • we are not liable for indirect or consequential loss, or for loss of profit, revenue, goodwill, data, anticipated savings, or business opportunity;
  • we are not liable for the acts or omissions of any counterparty you find through the platform, the accuracy of anything they tell you, or the outcome of any procurement or contract; and
  • our total aggregate liability arising from or in connection with the platform is capped at the greater of the fees you paid us in the 12 months before the event giving rise to the claim, and A$100.

You indemnify us against loss we suffer arising from your breach of section 11, your infringement of a third party's rights, or your unlawful use of the platform.

15Suspension and closing your account

You may close your account at any time from your account settings. Closing it cancels any Vederca Plus subscription, which runs to the end of the month you have paid for.

We may suspend or close an account on notice if you breach these terms, if we are required to by law, or if continuing to provide the platform to you would expose us or other users to material risk. Where the breach can be fixed, we will normally ask you to fix it first. While we have an organisation suspended, its Vederca Plus billing is paused and it is not charged.

A vendor account opened on or after 6 November 2026 that is not verified within 30 days of being opened (section 5) is closed at the end of that period. We may instead keep it open, for example while it is on a paid plan or taking part in a procurement that has not finished. When we close it, we remove its members' personal details, which frees their email addresses to open a new account.

When an account closes we stop providing the platform to you. We retain records for the periods described in our , including where we must keep them to meet legal obligations or to resolve disputes. Sections on confidentiality, intellectual property, liability and governing law survive.

16Changes to these terms

We may update these terms. The current version and its version number are always on this page. Where a change is material we will give notice in the platform before it takes effect, and continuing to use the platform after that date means you accept the updated terms. If you do not accept them, close your account. This version is 1.11, effective 6 November 2026.

17Governing law and disputes

These terms are governed by the laws of Western Australia, Australia. You and we submit to the non-exclusive jurisdiction of the courts of Western Australia and the courts able to hear appeals from them.

Before starting proceedings, each of us agrees to raise the dispute with the other in writing and to try in good faith to resolve it for at least 20 business days. This does not stop either of us seeking urgent injunctive relief.

18How to reach us

Account holders should raise anything about these terms through the support console in the platform, under Support in the buyer or vendor portal. Tickets go straight to our team and stay attached to your organisation's record, which means we can act on them.

If you do not have an account, email support@vederca.com. The page in the user guide sets out the other ways to reach us.
